Below are our terms and conditions, and the default policies that we apply to all of our productions. If any of this does not cater to your expectations, please contact us and we will be happy to discuss amendments.

TERMS AND CONDITIONS

These terms and conditions are for your protection as well as ours. Please read them carefully.

1 – Fees

1.1 Fee Estimate

Our fee quotes are based on an estimate of the amount of time and work required to complete each project. We will endeavour to complete the work within the estimated fee. In the case that the work is likely to involve more time/cost than the original estimate, or the scope of the work changes, we will agree any additional fee in advance of undertaking the work.

Each estimate includes pre-production services which are often carried out before a final quote is given. Should the client decline the quote and not wish to take the project further, they agree to compensate Teralon Media ltd. for all work carried out and any expenses incurred to date.

1.2 VAT

All figures exclude VAT unless stated otherwise.

1.3 External Costs

External costs include, couriers, taxis, travel, subsistence, accommodation and image/footage/music licensing fees (unless these are itemised in the estimate). All external costs will be charged to the client. Any major costs not included in our quote (in excess of £100) will be quoted and agreed with the client in advance.

1.4 Payment Terms

Fees will be invoiced as set out below:

66%  On sign-off of budget. Must be paid before project commencement.

34%  On completion of the first draft of deliverables.

Our payment terms are strictly 28 calendar days from date of invoice. Following this,Teralon Media Ltd. reserve the right to add an accumulative weekly penalty fee of 1.5%. . The Client shall be responsible for all collection or legal fees necessitated by late or default in payment. Teralon Media Ltd. reserves the right to withhold delivery of material and intellectual property rights until full payment of all fees.

2 – Content & Intellectual Property Rights

2.1 File Storage

Unless stated otherwise, all files are stored by Teralon Media Ltd. for one year following the project sign-off. Teralon Media Ltd. accepts no responsibility for any issues arising from the deletion of these files after this date.

2.2 Copyright (material created by Teralon Media Ltd.)

The Copyright of all material that has been captured by Teralon Media Ltd. is solely owned by Teralon Media Ltd. and protected under UK Law. Upon project completion and full payment of all fees, Teralon Media Ltd. will transfer partial copyright ownership of the final product to the Client. All original media files remain the intellectual property of Teralon Media Ltd.

Teralon Media Ltd reserves the right to use all content, either in part or in its entirety, for promotional purposes.

2.3 Copyright (material provided by The Client)

In the event of any material being provided by the Client for use in a Teralon Media Ltd. production, copyright must first be obtained from the original copyright owner or material provider. The Client agrees to indemnify Teralon Media against any future possible claims, disputes, expenses or similar events that may arise from a third party concerning usage of such material.

Teralon Media Ltd reserves the right to use all content, either in part or in its entirety, for promotional purposes.

2.4 Intellectual Property

Upon project completion and full payment of all fees and expenses, Teralon Media Ltd. will transfer partial copyright ownership of the final product. Henceforth Teralon Media Ltd. and the Client will both have shared ownership of the final product. The Client is prohibited from modifying or displaying the final product in any other form than agreed upon at project commencement.

3 – Conclusion

All Terms and Conditions stated above are deemed acceptable to the Client upon project commencement.

INFORMATION SECURITY AND PRIVACY POLICY

You may browse and access information contained within this website without providing any personal information. Where you voluntarily provide personal information, we will only use that information to communicate with you regarding our services. Users may be asked for, as appropriate, name, email address and phone number. Users can always refuse to supply personally identification information, except that it may prevent them from engaging in certain site related activities.

Subject to applicable laws, we may monitor and record your emails, text messages, social media messages and other communications in relation to Teralon Media Ltd’s dealings with you.

Teralon Media Ltd complies with the GDPR policy and respects your rights to have access to your personal data, or to have it erased or corrected if it is inaccurate.

HOW WE USE COLLECTED INFORMATION

Teralon Media Ltd will only use your personal data as necessary to perform our contract with you and as necessary for accounting, managing and auditing our business operations.

HOW WE PROTECT YOUR INFORMATION

All photos or recordings, and other personal data will be kept securely to protect against unauthorised access, alteration, disclosure or destruction of your personal information. We archive our media recordings (photos and video) so that we can update your projects by reusing existing relevant assets, rather than reshooting everything from scratch each time. If this is not required please inform us and we will disposed of them securely when the project is finished.

SHARING YOUR PERSONAL INFORMATION

We will not sell, or allow third parties access to your information.

We may disclose your personal information if we are required by law to do so or if you violate our Terms and Conditions. Subject to applicable data protection law, Teralon Media Ltd may share your personal data with sub-contractors and other persons who help us provide a service to you, legal and other professional advisors, Government bodies and agencies in the UK and overseas, or anyone else where you have given your consent or as required by law.

PHOTOGRAPHY AND FILMING

Images of individuals, whether in still photographs or video images, will often be caught by the definition of personal data in the Data Protection Act 1998. In many cases consent from the individuals will need to be obtained in order to process (capture and use) the images fairly and lawfully.

Consent will be obtained from people whose image is the focus of the photograph or film.

PHOTOGRAPHY AND FILMING IN PUBLIC AREAS OR AT EVENTS.

When filming in public areas or a large group of people it is not necessary to get the consent of people whose image is captured incidentally in the background.

Teralon Media Ltd will display a warning notice to flag up that photography or filming is going to be taking place so that any individuals who wish to opt out may leave or move to an area where they will not be filmed.

WITHDRAWING CONSENT.

An individual captured in an image can withdraw their consent even after having signed the consent form. Any such withdrawal should be in writing.

Once consent is withdrawn, Teralon Media Ltd cannot use the relevant images again, but it will not normally be possible to recall the media productions in which their image has already appeared.

COPYRIGHT ASSESTS

Photographs, film, sound recordings and still images are all protected by copyright. Teralon Media Ltd is the owner of copyright in recordings it makes but our clients own copyright in their scholarly output and this includes the underlying presentation materials (such as PowerPoint slides) and the content of their dialogue (when fixed by a recording). Teralon Media Ltd has the automatic right to use those copyright works for its legitimate purposes.  You must ensure that any third party material captured in the course of filming or taking photographs does not breach copyright, by being satisfied that Teralon Media Ltd is permitted to use such material for this purpose.

CHANGES TO THIS PRIVACY POLICY

Teralon Media Ltd has the discretion to update this privacy policy at any time. We encourage clients to frequently check this page for any changes to stay informed about how we are helping to protect the personal information collected. You acknowledge and agree that it is your responsibility to review this privacy policy periodically and become aware of modifications.
